Legal notice
Updated: October 20, 2026
Effective: October 9, 2026
This notice covers the Koder desktop app and the KARMEN LOOP kernel that ships with it, KARMEN bot, the System page, the updater, and the local service (together, “the software”). The software is provided by the KARMENLOOP Official Team (“we”). Our team location and contact details are in section 12. Read this notice before you install, start, or use the software, including the bold sentences that limit liability. If you start using the software, you have read this notice and agree to it. If you do not agree, stop and uninstall it. This notice, the License and services agreement, the Privacy notice, the Security notice, and the Open-source notice are the rules for using the software. Where they cover different subjects, each one applies to its own subject. For an open-source component, that component’s license controls.
1. What the software is. The software is an AI assistant for coding and office work, and it runs on your own computer. It does not include a large language model. It sends your request to a third-party model service that you choose, open, and configure with your own key. From the model’s reply, and only after you confirm, it reads and edits files in a folder you name, runs a command, or answers a question. It does not require an account. It does not offer cloud sync. By default it runs only on this computer.
2. What the software is made of, and the open-source software it uses. The build you can download now is made of programs we wrote and the runtimes that ship with it. What we wrote includes the interface, tasks and folders, KARMEN bot, model presets and routing, thinking level and model strength, the encrypted key store, tool switches and modes, questions and the message queue, reminders, the System page, the updater, the device serial number, the local service shell, and the KARMEN LOOP kernel. KARMEN LOOP owns the session, the main loop, tool calls, and approvals. The installer also includes the runtimes the software needs. The list, the licenses, and how to get source are in the Open-source notice. We are not a parent, investor, partner, authorized agent, or endorser of the operator of a model service you choose. Some of the look of the interface follows common desktop design. The trademarks in that look belong to their owners.
3. Content the model generates. Answers, code, suggested file changes, commands, summaries, translations, and other content shown in the software are generated by a third-party model. They can be wrong, incomplete, out of date, biased, or untrue, and they can match or resemble what someone else receives. The software and we do not warrant, expressly or by implication, that generated content is accurate, complete, lawful, usable, or fit for a particular purpose. You decide, and you check it, especially where the subject is law, medicine, finance, safety, or engineering. Decisions and actions you take from generated content are yours. Do not pass generated content off as work a person did, in an exam, a review, or any other setting that requires original work, and follow the labeling rules that apply.
4. Files and commands. Before the software writes or edits a file, or runs a command, it shows you the exact change and asks you to confirm. You can also set the chat to read-only, turn any tool off, or reject any request. After you click Accept or Allow, or otherwise agree, that change or command runs as you confirmed. Changes to data, lost data, changes to system settings, charges, and other results are yours. We recommend version control or a regular backup in any folder that matters. Do not allow a command you do not understand. Do not let the AI work freely in a folder that holds sensitive data. The software puts a file-access boundary around commands. No isolation measure is absolute.
5. Third-party model services and other third-party services. A model service, a web search service, a web page, or any other third-party service you use in the software is provided by that third party, and that third party is responsible for it. Their terms, privacy policy, billing rules, and content rules apply. Messages, file contents, tool results, and context you send to a third-party model service are handled by that third party under its rules. We do not control, and we are not liable for, an outage, a rate limit, a charge, a content review, data handling, or the quality of a third-party service. You pay the model provider directly.
6. The network. The software does not upload telemetry by default. It uses the network only when you use a feature that needs it: sending a request to the model service you configured; reading that service’s live model list; sending a search query to a public search service for public results; opening a public address directly when the AI fetches a page; and checking for and downloading a software update. Web search does not use your model key. See the Privacy notice and the Security notice.
7. Intellectual property. The intellectual property in code, interface design, text, icons, and marks that we created belongs to us or to the relevant rightsholder. The intellectual property in an open-source component belongs to its authors. Your rights in an open-source component are whatever its license gives you. This notice and the License and services agreement do not limit those rights. Rights in files and data you process with the software stay with you or the relevant rightsholder. Using the software does not give us those rights.
8. Lawful use. You follow the laws of the People’s Republic of China and the laws of where you are, including the Cybersecurity Law, the Data Security Law, the Personal Information Protection Law, and the Interim Measures for the Management of Generative Artificial Intelligence Services. You do not use the software to generate or spread illegal or harmful information. You do not infringe someone else’s intellectual property, trade secret, personal information, or other lawful right. You do not use it to attack, crack, or bypass a security measure, or to do anything else that harms network security.
9. Limitation of liability. To the fullest extent the law allows, we are not liable for loss from using or being unable to use the software, from generated content, from a third-party service, from a file or command operation, from lost data, from an interruption of business, from lost profit, or from any indirect, incidental, special, or punitive loss. If the law does not allow that exclusion, our total liability is limited to what you actually paid to obtain the software. This section does not exclude or limit liability the law does not allow us to exclude or limit, including property loss caused by our intent or gross negligence, and liability for personal injury.
10. Updates and stopping a service. We may fix a problem, patch a security issue, or change a feature through an update package that is digitally signed. Before an update is installed, the software backs up the files it will replace, and you can roll back. After notice, we may stop a feature or stop updating the software.
11. Changes to this notice. We may update this notice because the law, the product, or how we operate has changed. An updated version shows a new updated date and is shown in the software. If you keep using the software after an update, you accept the updated notice.
